Creator Agreement

This Creator Agreement ("Agreement") is entered into between Reacted LLC, a Florida limited liability company ("Reacted," "Company," "we," or "us") and the individual or entity registering as a Creator ("Creator," "you").

By registering as a Creator on the Reacted platform (the "Platform"), you agree to the following:

1. Independent Contractor Status

Creator is an independent contractor.

Nothing in this Agreement creates:

  • An employment relationship
  • A partnership
  • A joint venture
  • An agency relationship

Creator is solely responsible for all taxes, reporting obligations, and compliance with applicable laws.

Reacted does not withhold taxes on Creator earnings.

2. Creator Services

Creators provide personalized video responses to Fans through the Platform.

Creator has sole control over:

  • The content of video responses
  • The style, tone, and delivery
  • Whether to accept or decline requests

Reacted does not supervise or control Creator content.

3. Creator Responsibilities

Creator agrees to:

  • Provide original content
  • Comply with all applicable laws
  • Avoid infringing third-party intellectual property
  • Avoid unlawful, harmful, or fraudulent content
  • Maintain accurate account information

Creator is solely responsible for any advice, opinions, or statements made in video responses.

4. No Professional Relationship

Creator acknowledges that:

  • Reacted does not provide professional services.
  • Creator is solely responsible for determining whether they are legally permitted to provide certain types of advice (e.g., medical, legal, financial).
  • Creator represents that they will not misrepresent their credentials or qualifications.

5. Pricing & Payments

Creators set their own prices.

Payments are processed via Stripe Connect or a similar third-party processor.

Reacted may deduct platform fees before transferring earnings.

Creators acknowledge:

  • Payment processing fees may apply.
  • Refunds are governed by the Platform's Terms of Service.
  • Reacted may withhold payment in cases of fraud, policy violations, or disputes.

6. Taxes

Creator is solely responsible for:

  • Reporting income
  • Paying federal, state, and local taxes
  • Providing any required tax documentation (e.g., W-9)

Reacted may issue required tax forms where applicable.

7. Intellectual Property

Creator retains ownership of their video responses.

However, Creator grants Reacted a non-exclusive, worldwide, royalty-free license to:

  • Host
  • Display
  • Transmit
  • Promote

Creator content for purposes of operating and marketing the Platform.

8. Content Moderation

Reacted reserves the right to:

  • Remove content
  • Suspend or terminate accounts
  • Refuse service

If Creator violates Platform policies or applicable laws.

9. Limitation of Liability

To the fullest extent permitted by law:

Reacted shall not be liable for:

  • Loss of revenue
  • Reputational harm
  • User reliance on Creator advice
  • Indirect or consequential damages

Reacted's total liability shall not exceed amounts paid to Creator in the previous three (3) months.

10. Indemnification

Creator agrees to indemnify and hold harmless Reacted LLC from any claims arising from:

  • Creator's content
  • Creator's advice
  • Creator's violation of law
  • Intellectual property infringement
  • Misrepresentation of credentials

11. Termination

Either party may terminate this Agreement at any time.

Reacted may suspend or terminate accounts for:

  • Policy violations
  • Fraud
  • Harmful conduct
  • Legal risk

12. Arbitration & Governing Law

This Agreement shall be governed by the laws of the State of Florida.

Any disputes shall be resolved through binding arbitration in Florida under the rules of the American Arbitration Association.

Creator waives the right to participate in class actions.
